CONSTITUTION and BY – LAWS
of the
KANSAS SPORTING CLAYS ASSOCIATION, INC.
Preamble
The Kansas Sporting Clays Association, Inc.,
shall be a nonprofit corporation of persons engaged in the promotion and
education regarding clay target sports, including safety and activities
revolving around sporting clays and F.I.T.A.S.C. Target shooting in the
State of Kansas.
Article I – Name and Fiscal Year
Section 1:
The name of the corporation shall be the KANSAS SPORTING CLAYS ASSOCIATION,
INC. (Hereafter referred to as “KSSCA”) and is incorporated pursuant to the
provision of the Kansas nonprofit corporation code.
Section 2:
The fiscal year of the KSSCA shall commence on October 1 and end on
September 30 of the following year. <Back>
Article II – Purpose
The Purpose of the KSSCA shall be as
follows:
Section
1: The promotion and
encouragement of organized sporting clays shooting among the residents of
the state of Kansas.
Section 2:
To increase among KSSCA members the knowledge of the safe handling and
proper care of firearms, as well as improved shotgun marksmanship; and
education.
Section 3:
To forward the development of those characteristics of honesty, good
fellowship, self-discipline, team play and self-reliance, which are the
essentials of good sportsmanship and the foundation of true patriotism. <Back>
Article III –
Membership
Section 1:
Admission to membership
A)
Any individual resident of
club of the state of Kansas who is a member of the
National Sporting Clays
Association (hereinafter referred to the NSCA) will automatically be a
member of the KSSCA, provided said resident is not restricted from owning or
operating a firearm under any federal or state laws, unless such membership
is terminated for failing to pay any amount owing to KSSCA or for other
violations of the terms hereof upon vote of the Board of Directors, or
pursuant to a member’s election to cease being a member.
B)
The KSSCA member number
will be the same as the NSCA member number.
C)
Members need to be
sensitive and compassionate to the needs of other members.
D)
Members must abide by the
safety rules adopted by NSCA.
Section 2:
Classes of Membership
A)
Individual – Any individual
residing in the State of Kansas.
B)
Club – any club in the
State of Kansas, having at least one sporting clays course.
Section 3:
Any member in good standing shall have the privilege of discussing or
speaking on any subject at any meeting of the members of the KSSCA. The
Board of Directors retains the right to limit the time that any member may
speak at any annual or special meeting of the members of the KSSCA. All
members are welcome to attend any and all meetings of the Board or
Directors.
Section 4:
Club Responsibilities:
A)
It shall be a club’s
responsibility of reporting shoot results to the KSSCA within fifteen (15)
days of the shoot.
B)
The hosting club will be
responsible for its mailing winnings and placement information to each
shooter participating in its shoot, along with a completed copy of the NSCA
shooters report within fifteen (15) days of the shoot.
C)
Clubs hosting shoots must
abide by the pricing they have established in their brochures or flyers.
D)
A fine of not less than
$5.00 or more that $50.00 can be imposed on a club that is in violation of
the by-laws.
Section 5:
Voting Privileges of Membership
A)
Individual Member – shall
be entitled to one vote at all meetings of the members.
B)
Club Member – shall be
entitled to one vote at all meetings of the members. <Back>
Articled IV – Fees
Section 1
A)
Each individual member
shall be charged a state administration fee of $2.00 per 100 targets for all
registered events they shoot in. State administration fees shall be used to
pay the expenses of the KSSCA and other activities as the Board of Director
or members may direct from time to time. <Back>
Article V – Board of Directors and Officers
Section 1:
Duties of the Board of Directors
A)
The Board of Directors shall
have all of the powers and duties regular and customary to Boards of
Directors of corporations, including the supervision and direction of the
financial and business affairs of this corporation and the preparation of an
annual budget for provision for adequate reserves to insure financial
stability of the corporation.
B)
Recognizing that membership
is fundamental to the success of this association, the board shall strive
constantly to secure and maintain a membership, which shall include all
eligible sporting clay shooters in the State of Kansas.
C)
The Board of Directors
shall make an annual review of the activated during the past year and
outline a general program to be carried out during the ensuing year.
Section 2:
The Board of Directors shall consist of the President, Vice President,
Secretary, Treasurer, and Publicity Director (“Regular Directors”) and one
member representing each member club in good standing (“Club Directors”) to
be appointed by the member club and the four (4) State of Kansas delegates
to the NSCA annual meeting (“Delegate Directors”) as determined by the rules
and regulation of the NSCA. The individual members shall elect the
(“Regular Directors”) by mail in ballot of the membership. Each member of
the Board of Directors shall be entitled to one vote at all meeting of the
Board.
Section 3:
Terms of Office of the Officers shall consist of a two-year term. During
the first year of the Association the office of Vice President and Publicity
Director will hold two year terms and the President and the
Secretary/Treasurer will elect to be on the Board for three years, to allow
continuity to the board.
Section 4:
The Board of Directors shall have a general charge of the affairs of the
KSSCA and may properly assume such other duties as are not specifically
assigned to or performed by any committees as many, in their judgment, be
necessary.
Section 5:
The Board of Directors shall have the authority to conduct investigations or
hearings relative to any complaint against any member which in the opinion
of the Board, is guilty of unsportsmanlike conduct or any prejudicial acts
that are detrimental to the best interests of the KSSCA and to take such
action as the Board deems appropriate, including termination of such
member’s membership.
Section 6:
The Board of Directors shall have full charge of all matters covered in the
Constitution and by-laws, including special meetings, and any and all other
business that is reasonably presumed to fall within the powers or duties of
the Board.
Section 7:
A Regular Director vacancy occurring on the Board of Directors may be filled
by the affirmative vote of a majority of the Board of Directors. The
Director so chosen shall hold office until the next annual election of the
Board of Directors by the members.
Section 8:
A nominating committee of three (3) persons shall be appointed by the
president two months prior to the state annual member meeting to fill
expiring Regular Director terms of the Board for the following year.
Section 9:
Only individual members shall be eligible to serve as officers and Regular
Directors.
Section 10:
The annual meeting of the Board of Directors
will take place immediately following the adjournment of the annual meeting
of the members. <Back>
Article VI – Officers, Powers and
Duties
Section 1:
President
A)
The President shall preside
over all meetings of members and directors.
B)
The President shall subject
to the direction and control of the directors, direct the affairs of the
association.
C)
The President shall call
the directors together whenever necessary.
D)
The President shall sign,
as President, all contract, notes and other instruments when so directed by
the Board of Directors.
E)
The President shall
discharge such other duties as may be required of him by these by-laws or by
the Board of Directors.
Section 2:
Vice President
A)
The Vice President shall
preside in the President’s place if the President is unable to preside over
any meeting.
B)
The Vice President shall
have the responsibility for the general promotion of clay shooting in the
State of Kansas.
C)
He/She shall aid any new
group in the organization of any clay shooting club under the auspices of
the KSSCA and the NSCA.
D)
He/She shall perform such
other duties as the Board of Directors may require.
Section 3:
Secretary
A)
The Secretary shall preside
in the President’s place if the President and Vice President are unable to
preside over any meeting.
B)
The Secretary shall be
responsible to keep minutes of the KSSCA meetings.
C)
He/She shall issue all
notices to membership
D)
He/She shall submit
proposed shoot dated to the NSCA
E)
He/She shall maintain a
list of members consistent with NSCA data.
Section 3.1: Treasurer
A) The Treasurer shall be
the custodian of all Monies, Trophies, Securities and Vouchers of the KSSCA
and shall preserve the receipts of all Monies paid out.
B) He/She is authorized to
receive all funds due the KSSCA and place such funds in any bank or banks as
the Board of Directors directs.
C) Disbursements will be
authorized only by the Board of Directors or directed by the vote of KSSCA
members at the annual State Meeting.
D) A detailed report of all
Monies received and distributed by the Treasurer shall be made at the Annual
State KSSCA meeting.
Section 4:
Publicity Director
A)
The duties of Publicity
Director shall be to channel all news concerning the KSSCA to news outlets
deemed appropriate by the Board of Directors.
B)
News pertaining to
registered shoots shall be given by the sponsoring club to the State
Publicity Director for release to the news media.
C)
Would require a quarterly
newsletter to be issued to the membership.

Article VII – Annual and Special Members Meetings
Section 1:
Annual Meeting
The Annual State Meeting of the members of
the KSSCA shall be held at the State Sporting Clays Shoot, and 30 days
advanced notice shall be given to all members.
Section 2:
Special Meetings
The Board of Directors shall have the right
to call a special meeting of the membership at any time. Ten percent of the
membership may also file a petition stating the specific business to be
brought before the corporation and thus demand a special meeting at any
time. Upon the filing of such petition the Board of Directors shall call
such special meeting.
Section 3:
Notice
Notice of all special meetings, together with
a statement of the purpose thereof, shall be mailed to each member at least
ten (10) days prior to the meeting.
Section 4:
Order of Business
The Order of Business at all annual meetings
of the members shall be as follows:

Roll call and seating of
Board of Directors
B)
Reading of Minutes
C)
Review and approval of
Financial Reports for the Previous Year
D)
Reports of Officers and
Committees
E)
Unfinished Business
F)
Election of Board of
Director & Officers
G)
Awarding of Next Annual State Tournament
H)
New Business
I)
Adjournment
Section 5:
Quorum
The members appearing at any meeting either
in person or by proxy shall constitute a quorum for the transaction of
business.
Section 6:
Rules of Order
Robert’s Rules of Order shall govern the
conduct of all meetings, and the Vice President shall serve as
parliamentarian.
Section 7:
Voting by Ballot
The Board of Directors may secure a vote on
any resolution pertaining to KSSCA business, except amendments to the
By-Laws by sending a letter Ballot on the subject to be voted on, to the
members. The results on such matters shall by counted within 10 days of
date the Ballots are to be returned to the President. At such time all
Directors shall be notified of all action voted on. <Back>
Article
VIII – Shoot Participation
Any individual member in good standing with
KSSCA and NSCA and not in violation of any State or Federal laws or
regulations relating to firearms shall be allowed to come upon the grounds
of any member club holding a registered open shoot and participate in that
shoot. Any member club finding it necessary to deviate from this article of
the by-laws shall obtain written permission from the Board of Directors of
the KSSCA. <Back>
Article IX – Tournament Scheduling
Section 1:
Any member club desiring to register a tournament with KSSCA shall make its
application for such dated to the Secretary of the KSSCA before June 15 of the year prior to the year of the shoot or shoots. All shoot dates must be
approved by the KSSCA Board of Directors and forwarded on to NSCA before
June 30 of each year.
Section 2:
If a club chooses a shoot date and then cancels that shoot, notification to
the KSSCA and the NSCA is required. It is the sole responsibility of the
host club to notify shooters that the tournament has been canceled.
Section 3:
The latest revised rules of the NSCA shall govern all tournaments sanctioned
by the KSSCA. <Back>
Article X – Annual State Tournaments
Section 1:
KSSCA will sponsor an annual state sporting clays championship and 5 Stand/FITASC
championship tournaments to be held in each calendar year on dates selected
by the Board of Directors and Host Clubs.
Section 2:
The State Sporting Clays Championship will be an open shoot; however only
KSSCA members having 300 NSCA registered targets and who are Kansas
residents will be eligible for state Trophies and State Championship
status. Any KSSCA member who does not have the required number of targets
may participate but will not be eligible for trophies or championship
status.
Section 3:
The Board of Directors shall establish written criteria setting forth
minimum State Shoot Club Facility requirements, and any KSSCA Club member
meeting such requirements shall be eligible to host the State Tournaments.
Section 4:
The host club for the State Tournament will be chosen by majority vote of
the members from among eligible KSSCA member clubs in good standing which
have submitted written applications prior to the Annual Meeting of the KSSCA
members. However, unless special circumstances prevail as determined by the
Board of Directors, no club shall host the State Tournament more than two
years out of five and not two consecutive years. The members shall at the
same time choose an alternate club that will host the State Tournament. The
rights and responsibilities of the host club management shall not be
abridged or abrogated by the Board of Directors or the State Tournament
Committee. <Back>
Article XI – By-Laws
The Constitution and By-Laws may be amended
as follows: The Board of Directors or ten percent (10%) of the members
may propose an amendment. The proposed amendment(s) shall be submitted to
the Secretary of the KSSCA at least thirty (30) days prior to the Annual State meeting or any special
meeting of the members. The Secretary of the KSSCA shall then notify each
member of the Board of Directors at least fifteen (15) days prior to the
Annual State or special meeting stating exactly what amendment(s) will be
presented to the membership at the Annual State Meeting or special meeting
and majority vote of the membership in attendance will govern the decision
to pass or defeat the proposed amendment(s). <Back>
Article XII –
State Team
State teams will be chosen at the discretion
of the Board of Directors. If a state team is chosen it shall be determined
by the special committee appointed by the president. <Back>
Article XIII –
Referees
Each club shall have the responsibility of
using qualified referees for all registered shoots. <Back>
Article XIV –
Committees
Section 1:
Various committees shall be appointed as is deemed necessary by the Board of
Directors. All committee members shall be appointed for a period not to
exceed one year.
Section 2:
If possible, each committee shall include a board member. All members,
including the chairperson, shall be appointed by the president with the
approval of the Board of Directors.
Section 3:
All Committees are directly responsible to the president. Any committee or
committee member not functioning to the satisfaction of the president can be
replaced or changed at any time as is deemed necessary by the president.
